Between:

  • SpaceArch Solutions LLC, a company incorporated in Florida, USA, hereinafter “the Company”.
  • [Investor’s Name], identified with [document], hereinafter “the Investor”.

Object:
The Investor contributes the sum of USD [amount] as a microinvestment in the Company, obtaining in return a proportional participation in the equity of SpaceArch Solutions LLC.

Nature of the investment:

  • This investment is recorded in a bank escrow account until milestone validation.
  • The participation will be considered automatically transferable to Maitreya Music Corp. in the second stage, in identical proportion.
  • The Investor declares understanding that financial returns are not guaranteed, but maximum transparency and executive responsibility are.

Investor Rights:

  • Access to periodic audit reports and financial statements.
  • Right of preference in future investment rounds of the Maitreya ecosystem.
  • Consultative voice in the International Advisory Council via Direct Digital Democracy (DDD).

Company Obligations:

  • To respect the allocation of funds in accordance with the Financial Plan.
  • To maintain funds in escrow until milestones are fulfilled.
  • To allocate 50% of net profit to Mayday.live.

📑 2. Terms of Participation and Transfer

  1. Initial Participation: The Investor acquires equity rights in SpaceArch Solutions LLC in proportion to the invested amount.
  2. Future Transfer: Upon the constitution of Maitreya Music Corp., the Investor’s participation will be automatically transferred to this new entity, with no additional cost or dilution.
  3. Liquidity: The Investor may access:
    • Partial buyback programs by the Company.
    • Internal supervised secondary market.
    • Partial dividends in the event of positive cash flow.
  4. Risks: The Investor accepts technological, market, and regulatory risks, including potential future regulations on AI-generated music, for which the Company cannot be held responsible.

📑 3. Preference Clause in New Nodes

  • First-round investors of Maitreya Music will have preferential access rights in the investment rounds of Dinner, MegaStore, GreenInterbanks, and other Maitreya ecosystem projects.
  • This right ensures reserved allocation and special conditions.
  • The exercise of this right is optional and does not dilute the initial participation in Maitreya Music.

Each contract will be available in electronic PDF/Docx version for signature via digital validation platforms (DocuSign, Adobe Sign, HelloSign).

    The Investor acknowledges that no financial return is guaranteed. Risks include:

  • Market: global competition.

  • Los Inversores de la primera ronda de Maitreya Music tendrán derecho preferencial de acceso en las rondas de Dinner, MegaStore, GreenInterbanks y demás proyectos del ecosistema Maitreya.
  • Este derecho asegura reserva de cupo y condiciones especiales.
  • El ejercicio del derecho es opcional y no diluye la participación inicial en Maitreya Music.
