📝 Strategic Consultant Agreement (NDA + Commission)

This Agreement is made effective as of [Date], by and between:

1. SpaceArch LLC (the «Company»), a strategic unit of Maitreya Corp, with registered operations under global jurisdiction,
and
2. [Full Name of Consultant], an independent consultant, with primary address at [Address] (the «Consultant»).

1. 🔐 Non-Disclosure & Confidentiality

1.1 The Consultant agrees to treat as confidential all proprietary information, documents, contacts, strategies, and financial models disclosed directly or indirectly by the Company.
1.2 Confidentiality obligations shall remain in effect for five (5) years after the termination of this Agreement.
1.3 No information may be shared with third parties without prior written authorization by the Company.

2. 🤝 Scope of Services

2.1 Consultant will act as a non-exclusive strategic broker or facilitator, introducing potential partners, investors, governments, institutions, or corporate clients aligned with the Company’s projects.
2.2 Consultant may assist in:

  • Facilitating communications and preliminary negotiations.
  • Assisting in due diligence and documentation.
  • Advising on local regulations or opportunities.

3. 💰 Commission & Compensation

3.1 Upon the successful closure of any deal, investment, alliance, or commercial agreement directly resulting from Consultant’s verified introduction or efforts, the Company shall pay a success commission as follows:

3.2 Payment shall be made within 15 business days of Company receiving funds or contract execution, whichever occurs first.
3.3 In exceptional cases of integral strategic participation, the Consultant may be granted equity or profit-sharing rights, to be detailed in an annex.

4. 📍 Territorial & Client Exclusivity (Optional)

4.1 If mutually agreed, Consultant may receive exclusive rights over a territory, sector, or client list, as per signed Annex A.
4.2 The exclusivity will remain valid for [6–12 months], subject to active performance.

5. 📄 Documentation and Proof of Contribution

5.1 All introductions must be documented via email, video call, or written communication.
5.2 Consultant must keep records and submit an “Introduction Report” summarizing contact, role, and process timeline.

6. ⚖️ Termination

6.1 This Agreement may be terminated by either party with 10 days’ written notice.
6.2 Termination does not affect the Consultant’s right to commissions from deals initiated prior to such termination.
6.3 Any unresolved disputes will be settled by arbitration under ICC rules, with venue in [Geneva / Dubai / New York].

7. 🔐 General Provisions

  • This agreement does not constitute an employment or agency relationship.
  • Consultant bears all responsibility for taxes, expenses, and local compliance.

Consultant will introduce, facilitate, or negotiate potential business opportunities, including investors, companies, institutions, or governments interested in the Company’s core projects.

3. 💰 Commission & Payment

Upon successful agreement, funding, or alliance directly resulting from the Consultant’s introduction or efforts, the Company will pay:

  • 2% to 5% commission on the net value (to be defined per case).
  • Commission is paid within 15 business days of fund reception or contract signing.
  • Additional bonuses or equity may be negotiated in special cases.
